Terms of Service

These Terms of Service (“Terms”) govern your access to and use of ZenCub, a personal note-taking and learning tool for Brazilian Jiu-Jitsu practitioners operated by Season Five Ventures, LLC(“ZenCub”, “we”, “us”, “our”). By creating an account or using ZenCub, you agree to these Terms. If you do not agree, do not use ZenCub.
1. The service
ZenCub lets you submit a link to a publicly available instructional video on YouTube, TikTok, or Instagram. We extract a transcript and metadata and use AI providers (such as Anthropic and OpenAI) to generate an original, structured text summary of the technique. The summary is saved to your personal library. ZenCub does not host, redistribute, or resell third-party video — users are always linked back to the source platform to watch.
2. Eligibility & accounts
- You must be at least 13 (or the age of digital consent in your jurisdiction) to use ZenCub.
- You are responsible for safeguarding your credentials and all activity under your account.
- You may close your account anytime by emailing [email protected].
3. Credits & payment
- ZenCub sells processing credits — a prepaid service fee. One credit is consumed when you submit a video for AI processing. Credits are not money, stored value, or a payment instrument; they have no cash value, are non-transferable between users, and are usable only inside ZenCub.
- Credits remain valid for 24 months from your last account activity. We will notify you by email before retiring unused credits, and you may request a refund under our Refund Policy.
- One-time purchase only. No subscription, no auto-renewal, no recurring billing.
- Payments are processed by Stripe. Prices are shown on the Pricing page in USD, exclusive of taxes which may be added at checkout. If processing fails on our end, the credit is automatically returned to your balance.
- We may revise pricing at any time; changes apply to future purchases only and never reduce credits already in your balance.
4. Acceptable use
Your use of ZenCub is subject to our Acceptable Use Policy, which is part of these Terms. In short: you may submit only publicly accessible videos you have a lawful right to access, and you may not use ZenCub to circumvent paywalls, DRM, or platform terms; to infringe copyright; or for any unlawful purpose.
5. Your content
“Your Content” means any links, notes, edits, or other material you submit to ZenCub. You retain ownership of Your Content. You grant ZenCub a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and create derivative works from Your Content solely to operate, provide, and improve the service for you.
AI-generated technique cards produced from links you submit are made available to you under that same license — they are stored in your personal library for your own use. You may not republish them in a manner that misrepresents authorship or removes attribution to the original creator linked from the card.
6. Intellectual property & copyright
ZenCub respects the intellectual property rights of others and expects users to do the same. We respond to clear notices of alleged copyright infringement under the Digital Millennium Copyright Act (DMCA) and equivalent laws. ZenCub, its logo, and the ZenCub service interface are owned by us. No rights are granted to you in our marks or service except as expressly permitted in these Terms.
7. Third-party services
ZenCub integrates with third-party services to operate. These include, without limitation: Stripe (payments), Supabase (database, auth, storage), Anthropic and OpenAI (AI processing), and Apify (transcript extraction). Your use of ZenCub is also subject to those providers’ terms where applicable. We are not responsible for content, terms, or availability of source platforms (YouTube, TikTok, Instagram) you link to.
8. Service availability & changes
ZenCub is provided on an as-available basis. We may modify, suspend, or discontinue any part of the service at any time. We will use reasonable efforts to notify active users of material changes that affect paid credits.
9. Termination
We may suspend or terminate your account if you violate these Terms, our Acceptable Use Policy, or applicable law, or if your account creates risk or legal exposure for ZenCub or others. You may terminate your account at any time by contacting us. Upon termination, unconsumed credits may be eligible for a refund under our Refund Policy; consumed credits are not refundable.
10. Disclaimers
ZenCub provides AI-generated study summaries to help users learn Brazilian Jiu-Jitsu techniques. Output is machine-generated, may contain errors or omissions, and is provided for educational reference only. ZenCub is not professional coaching, medical advice, physical therapy, or a substitute for instruction from a qualified BJJ instructor. BJJ and other martial-arts practice involves risk of injury — always train under qualified supervision.
TO THE EXTENT PERMITTED BY LAW, ZENCUB IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT WHERE SUCH WARRANTIES CANNOT BE DISCLAIMED UNDER APPLICABLE LAW.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZENCUB AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF ZENCUB. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO ZENCUB WILL NOT EXCEED THE GREATER OF (A) USD $50 OR (B) THE AMOUNT YOU PAID TO ZENCUB IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
12. Indemnification
You agree to indemnify and hold harmless ZenCub and its operators from any claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your violation of these Terms, your violation of applicable law, or your infringement of third-party rights.
13. Governing law & disputes
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules. The exclusive venue for any dispute not subject to informal resolution shall be the state or federal courts located in California, and you and we consent to personal jurisdiction there. If you are located in a jurisdiction whose mandatory consumer-protection laws apply, those laws are not waived.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will notify active users by email or in-app notice. Your continued use of ZenCub after the effective date constitutes acceptance of the revised Terms.
